    General Commercial Terms and Conditions

    for Educational Events and Conferences of ACOMWARE s.r.o.

    These Commercial Terms and Conditions govern the rights and obligations of the Contracting Parties upon sale (by means of internet and other additional sale) or another acquisition of tickets for educational events and conferences organised by ACOMWARE s.r.o. and contain more detailed conditions concerning organization of such events.  

    1. Initial Provisions
    2. ACOMWARE s.r.o., Company ID No.: 25047965, with its registered office at Budějovická 778/3, 140 62 Prague, registered in the Commercial Register kept by the Municipal Court in Prague, Section C, Insert No. 92586, hereinafter also as the “Company” is issuing these Commercial Terms and Conditions. The Commercial Terms and Conditions govern the sale of tickets for the events and conferences of the Company (hereinafter as the “Events”) and comprise more detailed conditions for organization of such Events.  
    3. Sale of Tickets
    4. On its website the Company publishes a call for submitting proposals to conclude an Agreement for Purchase of Tickets for the Events specified on the website. Provisions of Section 1732 of Act no. 89/2012 Coll., the Civil Code (hereinafter the “NCC”) shall not apply.
    5. The person interested in buying the tickets (hereinafter as the “Applicant”) submits by means of an order placed through the applicable internet interface of the Company a proposal to conclude an Agreement for Purchase of Tickets for the selected Event (hereinafter as the “Ticket Order”).

    III. By placing the Ticket Order the Applicant is granting its consent with these Commercial Terms and Conditions and/or with the special rules and conditions of the given event specified on the website of the Company and acknowledges the advice concerning his/her personal data processing that is available here. These Commercial Terms and Conditions are a part of the Agreement in compliance with Section 1751 (1) of NCC.

    1. The Agreement for Purchase of Tickets is concluded by accepting the Ticket Order by the Company in the form of the Order confirmation by the Company or sending of a prepayment invoice to the e-mail address provided by the Applicant in the Ticket Order.
    2. With regard to the nature and price of the Event, the Applicant is considered as a professional and not as a consumer under Section 419 of NCC. Therefore, the consumer protection provisions and particularly Section 1810 and et seq. of NCC shall not apply.
    3. The purchase price of the educational event tickets includes refreshment, unless explicitly stated otherwise, and it must be paid on the basis of a prepayment invoice. Unless stated otherwise, the invoice is payable within 14 days from the date of its delivery. The Company reserves the right to prohibit entering the Event in the case of a failure to pay the tickets before the date of such event.

     

    1. Price of Tickets
    2. The price of one ticket is progressive according to the terms specified on the website of the given Event; the statutory VAT is added to the price (currently 21%).
    3. In case that a Participant cannot take part in the event, the entrance fee is not refunded. It is only possible to replace the Participant under clause II of Article 4 hereof.

    III. In case that an Event is cancelled, the buyers have the right to full compensation of the price of the tickets. In the case of an Event cancellation in the course of such Event due to a force majeure, the price of the tickets shall not be compensated.

    1. Ordering of Tickets by Means of the Website
    2. With the aim to order the tickets, all data needed to make the ticket booking must be provided and submitted and the applicable price must be paid according to the instructions of the ordering system. However, the Company reserves the right to accept incomplete orders as well.
    3. The ticket is bound for the Participant, a natural person, specified by the Applicant in the Ticket Order. The Participant may be replaced based on a written request, but only once.
    4. Rules of Events
    5. The Company reserves the right to reasonably adjust any Event for significant reasons (an illness, unavailability, etc.), e.g. to replace the individual speakers or move the Event to other comparable premises in the same town or to another day. 
    6. When taking part in an Event, the Participants must observe the legal regulations, the visiting rules of the given premises and the instructions of the organizers or the public administration authorities, and behave in compliance with good manners.  The Participants must act in the way that their acting does not cause any damage on the Company’s or third-party’s property. The Participants are fully responsible for any damage caused by their acting to the organizer or any third parties. 

    III. The Participants must restrain from disturbing the Event by their acting and behave with respect to the other visitors and the speakers. Participation in the Event is prohibited to any drunk persons or persons under the influence of narcotic substances. 

    1. In the event of a significant disturbance of the Event or acting in contradiction with these terms and conditions, the Company reserves the right to prevent the given Participant from entering the Event or from further participation. 
    2. If the Company arranges for storing of coats in a cloak-room, then unless stated otherwise, such cloak-room will not serve for storing of cash, valuables and similar items, such as jewellery, notebooks, phones, keys, etc.
    3. Any materials submitted to the participants in relation to an Event (copies and records of the lectures, etc.) are only designated for their personal use and must particularly not be used for any commercial purposes.

    VII. Photographs and video records may be taken at the Event exclusively with an express consent of the Company and for the purposes explicitly approved by the Company.

    1. Effect of the Commercial Terms and Conditions
    2. If any of the provisions of these Commercial Terms and Conditions becomes invalid, validity of the other provisions hereof shall not be affected.
    3. These Commercial Terms and Conditions shall come into effect on 07 August 2019.

    III. By terminating this Agreement, validity of any provisions thereof indicated explicitly or as a consequence to remain valid upon or after the Agreement termination, mainly the obligations specified in clause of Article 5, shall not be affected. 

    1. These Commercial Terms and Conditions are compiled in the Czech language. The Czech version is binding for interpretation of these Commercial Terms and Conditions in case of any discrepancies within the other language versions.
    2. Final Provisions
    3. Obligations of the Company towards the Applicants, as well as any claims of the Applicants after the Company are limited by the lapse of one year.
    4. The Company reserves the right to amend these terms and conditions, as well as the price of the tickets at any time (but not retrospectively).

    III. If any provision hereof is or becomes invalid or ineffective, such invalid provision shall be replaced by a provision the meaning of which is closest to the invalid provision. Invalidity or inapplicability of any provision shall not affect validity of the remaining provisions.

    1. In the case of an international element, the law governing any disputes arising in relation to these Commercial Terms and Conditions and the contractual relations established thereunder is the Czech law. The courts subject to resolving any disputes arising between the Contracting Parties are the Czech courts.
